Sales Terms

These Sales Terms (the "Sales Terms") govern the order and supply of paid EnClair services by H2V SAS. They complement our Terms of Service.

1. Acceptance of the Sales Terms

By subscribing to a plan or purchasing credit top-ups, the Customer accepts these Sales Terms without reservation. The timestamped order confirmation evidences this acceptance. Any substantial change to the Sales Terms is notified to active Customers at least fifteen (15) days before it takes effect; during that period, the Customer may cancel free of charge.

2. Scope

These Sales Terms apply to all orders placed by the Customer on the EnClair platform, whether for a subscription (Starter, Pro, Enterprise) or a one-off credit top-up.

3. Plans and pricing

Active plans and available top-ups are listed on the Pricing page. All prices are stated in euros (€) inclusive of applicable French VAT (TTC). Billing is per team (workspace), not per user.

  • Free — €0, 1 member, 5 free credits on signup, up to 1 file per session.
  • Starter — €19 / month or €199 / year, 5 members, 75 credits / month, up to 1 file per session.
  • Pro — €49 / month or €499 / year, 25 members, 300 credits / month, up to 3 files per session.
  • Enterprise — €99 / month or €999 / year, 50 members, 800 credits / month, up to 5 files per session.
  • Top-ups — 5 / 20 / 50 / 100 credit packs, valid one (1) year from purchase.

4. Order and payment

Orders are placed online from the team workspace, via our payment partner (Stripe). Accepted methods are credit card and, on request for Enterprise plans, bank transfer against an annual invoice.

Subscribing to a plan triggers a recurring charge (monthly or annual depending on the term selected) until cancellation by the Customer.

5. Invoicing

An electronic invoice is issued automatically for each transaction (subscription, renewal, top-up). It is available in the team workspace and emailed to the billing representative designated by the Customer.

Invoices and associated accounting records are retained for ten (10) years in accordance with Article L123-22 of the French Commercial Code.

6. Service delivery

The Service is activated immediately on payment confirmation, in less than sixty (60) seconds. Access to the team workspace and the initial credit allowance are available from that activation. No physical delivery period applies (digital service supplied continuously).

7. AI credits — specific conditions

The Service is metered in credits, consumed at each AI Model run. Credit cost depends on summary type, requested length, and the selected AI Model. The estimate is shown up-front, before the summary order is confirmed.

  • Monthly plan credits: the monthly allowance expires at the end of the billing cycle and is not carried over. Any consumption beyond the allowance requires purchasing top-ups.
  • Annual plan credits: the allowance is granted monthly and follows the same expiration rules as monthly credits.
  • À-la-carte top-ups: valid one (1) year from the date of purchase, non-refundable once paid.
  • Plan change: on downgrade, plan credits expire at the end of the cycle; top-up credits remain available within their one-year window.
  • Cancellation: credits unused at the contract end date are neither refunded nor transferable.

8. Refund policy

Top-ups: credits purchased à la carte are non-refundable and non-exchangeable once paid. They remain usable for one (1) year.

Subscriptions: a subscription can be cancelled at any time from the billing page; access continues until the end of the paid period. A refund for the current period may be granted only if no subscription credits have been consumed during that period. Refund requests must be sent to support@enclair.ai with the team identifier.

9. Consumer right of withdrawal

9.1 Subscriptions (Starter, Pro, Enterprise)

Under Article L221-28 1° of the French Consumer Code, the 14-day right of withdrawal does not apply to services whose performance has begun, with the Customer’s prior express consent and express waiver of that right, before the end of the withdrawal period.

When activating a subscription, the Customer expressly confirms, via a dedicated unchecked checkbox, that they request immediate performance of the service and thereby waive their right of withdrawal. This confirmation is timestamped and retained.

9.2 À-la-carte credits (top-ups)

Under Article L221-28 13° of the French Consumer Code, the right of withdrawal does not apply to the supply of digital content not supplied on a tangible medium whose performance has begun with the Customer’s prior express consent and express waiver of that right.

Credits are accessible immediately after payment. The Customer expressly confirms, via a dedicated unchecked checkbox, that they request immediate access to their credits and thereby waive their right of withdrawal. Credits are non-refundable and non-exchangeable. They remain valid for one (1) year from the date of purchase.

10. Term and cancellation

Subscriptions are entered for a monthly or annual term, tacitly renewable until cancelled by the Customer. The Customer can cancel at any time from the team workspace; cancellation takes effect at the end of the current period.

11. Suspension

In case of unpaid invoice or breach of the Terms of Service, access to the Service may be suspended after notice. Suspension does not give rise to a refund.

12. Service availability

We make reasonable efforts to keep the Service available. Enterprise plans benefit from SLA-backed support detailed in the applicable order form.

13. Force majeure

Neither Party shall be held liable for failure to perform its obligations resulting from a force-majeure event within the meaning of Article 1218 of the French Civil Code (notably: prolonged unavailability of an essential third-party provider — hosting, AI Model provider, payment processor —, natural disaster, armed conflict, regulatory decision, large-scale cyber-attack).

The prevented Party shall inform the other as soon as possible. If the event persists for more than thirty (30) days, either Party may terminate the contract without indemnity, subject to a pro-rata refund of amounts paid in advance and not consumed.

14. Data and privacy

Processing of personal data is governed by our Privacy Policy. Uploaded files and generated summaries are retained for 24 hours, then deleted.

15. Legal warranties

15.1 Legal warranty of conformity

Under Articles L217-3 et seq. of the French Consumer Code, H2V is required to deliver a service that conforms to the contract. Customers benefit from the legal warranty of conformity for defects existing at the time the digital service is supplied.

For a digital service supplied continuously (subscription), the warranty covers the duration of supply. The Customer may require remediation of the service, or, if remediation is impossible, a price reduction or cancellation of the contract.

15.2 Warranty against hidden defects

Customers also benefit from the warranty against hidden defects (Articles 1641 et seq. of the French Civil Code).

16. Governing law, mediation and jurisdiction

These Sales Terms are governed by French law.

Amicable complaint. Before bringing any claim, the Customer is encouraged to file a written complaint at support@enclair.ai.

Consumer mediation. Under Articles L611-1 et seq. of the French Consumer Code, in case of persistent disagreement, a consumer Customer may refer the matter free of charge to the consumer mediator to whom the Publisher adheres: AME CONSO (Association des Médiateurs Européens), 11 place Dauphine, 75001 Paris, www.mediationconso-ame.com.

Jurisdiction. Failing resolution, any dispute will fall under the jurisdiction of the courts of the Versailles Court of Appeal, subject to mandatory consumer-protection provisions.
